1. General Provisions
1.1 These General Terms of Purchase (GTP) apply to all purchase agreements concluded by ZADORUS Grzegorz Zadora, headquartered at Sobianowice 94A, 20-258 Lublin 62, Poland, hereinafter referred to as the “Buyer.”
1.2 The GTP constitute an integral part of every purchase agreement concluded by ZADORUS, even if they are not explicitly agreed upon again.
1.3 The purchase terms apply to all transactions carried out by ZADORUS unless otherwise agreed in writing by the parties.
2. Orders
2.1 Orders may be placed via email, phone, or the order form available on the ZADORUS website.
2.2 Each order should include full supplier details, including the company name, address, tax identification number (NIP), contact number, and details of the ordered goods.
2.3 ZADORUS reserves the right to modify or cancel an order without incurring costs until the order is confirmed by the supplier.
3. Prices and Payments
3.1 Product prices are determined based on the supplier’s current price list or individual agreements between the parties and are quoted in PLN unless explicitly stated otherwise.
3.2 The price includes all costs related to the delivery of goods, including packaging, transport, insurance, and any taxes and fees.
3.3 Payment for the ordered goods will be made within 30 days of receiving the invoice unless otherwise agreed.
3.4 ZADORUS reserves the right to offset any claims against the supplier’s obligations to ZADORUS.
4. Delivery
4.1 Delivery of goods should comply with the conditions specified in the order. The delivery deadline is binding, and failure to meet it may result in contract termination by ZADORUS.
4.2 The risk of damage or loss of goods passes to ZADORUS upon delivery to the location specified in the order, in accordance with Article 544 of the Civil Code.
4.3 The supplier is obliged to ensure appropriate packaging and labeling of the goods to prevent damage during transport.
4.4 In case of delivery delays, the supplier must immediately inform ZADORUS of the reasons for the delay and provide a new delivery deadline.
5. Quality Control and Complaints
5.1 ZADORUS has the right to inspect the quality of the delivered goods upon receipt. If defects are found, ZADORUS reserves the right to return the defective goods at the supplier’s expense.
5.2 Any complaints regarding the quantity or quality of goods must be reported to the supplier within 7 days of receipt, in accordance with Article 563 of the Civil Code.
5.3 If a complaint is accepted, the supplier is obliged to promptly replace the defective goods or provide a refund.
6. Liability
6.1 The supplier is fully liable for any damages resulting from the delivery of defective goods or non-compliance with the contract, in accordance with Article 471 of the Civil Code.
6.2 The supplier’s maximum liability for any claims will not exceed the value of the ordered goods.
6.3 The supplier undertakes to maintain appropriate liability insurance in connection with deliveries to ZADORUS.
7. Personal Data Protection
7.1 The administrator of personal data is ZADORUS Grzegorz Zadora, headquartered at Sobianowice 94A, 20-258 Lublin 62, Poland.
7.2 Personal data of suppliers is processed in accordance with the provisions of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (GDPR).
7.3 Personal data will be processed for the purpose of fulfilling purchase agreements, issuing invoices, maintaining financial records, and pursuing potential claims related to business activities.
7.4 Providing personal data is voluntary but necessary for fulfilling the purchase agreement. Suppliers have the right to access their data, rectify, delete, restrict processing, and transfer their data.

8. Final Provisions
8.1 Any disputes arising from purchase agreements will be resolved by the court competent for ZADORUS’s registered office.
8.2 In matters not regulated by these terms, the provisions of the Civil Code shall apply.
8.3 ZADORUS reserves the right to amend these purchase terms at any time, with such changes not affecting orders placed before their introduction.
9. Contractual Penalties
9.1 In case of delivery delays, the supplier will pay ZADORUS a contractual penalty of 1% of the order value for each day of delay, but the total penalties may not exceed 30% of the order value.
9.2 ZADORUS reserves the right to claim damages exceeding the contractual penalty if the loss incurred exceeds the penalty value.
9.3 The contractual penalty does not exclude ZADORUS’s right to withdraw from the agreement if the delivery delay exceeds 14 days.
9.4 All contractual penalties must be paid within 14 days of the issuance of a debit note by ZADORUS.
