1. General Provisions
1.1 Sales agreements are concluded with ZADORUS Grzegorz Zadora, headquartered at Sobianowice 94A, 20-258 Lublin 62, Poland.
1.2 These General Terms of Sale (GTS) apply to all sales agreements concluded by ZADORUS unless otherwise agreed in writing by the parties.
1.3 The GTS constitute an integral part of every sales agreement concluded by ZADORUS, even if they are not explicitly agreed upon again.
2. Orders
2.1 Orders may be placed via email, phone, or the order form available on the ZADORUS website.
2.2 Each order must include full buyer details, such as company name, address, tax identification number (NIP), contact number, and details of the ordered goods.
2.3 ZADORUS reserves the right to refuse an order without providing a reason, particularly in cases of incomplete data or the buyer’s outstanding payments.
3. Prices and Payments
3.1 Product prices are quoted in PLN and do not include VAT unless explicitly stated otherwise.
3.2 ZADORUS reserves the right to change product prices at any time without prior notice, but such changes will not affect orders already accepted.
3.3 Payment must be made before the shipment of goods unless otherwise agreed. Payment is deemed complete upon receipt of funds in ZADORUS’s account.
3.4 Accepted payment methods include bank transfer, credit card, and online payments.
4. Delivery
4.1 Delivery costs are borne by the buyer unless otherwise agreed.
4.2 The delivery deadline is determined individually and may range from 3 to 14 business days, depending on product availability, unless otherwise agreed.
4.3 The risk of damage to goods during transport passes to the buyer upon transfer of goods to the carrier, in accordance with Article 544 of the Civil Code.
4.4 In cases of delays caused by factors beyond ZADORUS’s control, the delivery deadline may be extended, and the buyer will be promptly informed.
5. Complaints and Returns
5.1 Complaints regarding mechanical damage to goods during transport will only be considered if accompanied by a damage report prepared in the presence of the courier.
5.2 Complaints must be submitted within 7 days of receiving the goods. Complaints submitted after this period will not be considered.
5.3 Returned goods must be in their original condition and packaging unless the defect was discovered during proper use.
5.4 If a complaint is accepted, ZADORUS will either replace the defective goods with non-defective ones or issue a refund, depending on the buyer’s decision.
5.5 Complaints concerning processed or improperly used goods will not be accepted. Legal basis: Article 560 §1 and Article 561 §2 of the Civil Code.
5.6 Filing a complaint does not exempt the buyer from timely payment of due amounts. In cases of price reductions due to product defects, the relevant portion of the payment will be refunded via a corrective invoice.
6. Liability
6.1 ZADORUS is not liable for damages resulting from improper use of its products.
6.2 The maximum liability of ZADORUS for any claims will not exceed the value of the ordered goods.
6.3 ZADORUS is not responsible for delays in order fulfillment caused by factors beyond its control, including force majeure, in accordance with Article 471 of the Civil Code.
7. Personal Data Protection
7.1 The administrator of personal data is ZADORUS Grzegorz Zadora, headquartered at Sobianowice 94A, 20-258 Lublin 62, Poland.
7.2 Personal data of buyers is processed in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (GDPR).
7.3 Personal data will be processed for the purpose of fulfilling the sales agreement, issuing invoices, maintaining financial records, and pursuing claims related to business activities.
7.4 Providing personal data is voluntary but necessary for fulfilling the sales agreement. Buyers have the right to access, correct, delete, or restrict the processing of their data, as well as the right to data portability.
7.5 Detailed information about data processing is available in the Privacy Policy on the ZADORUS website.
8. Final Provisions
8.1 Any disputes arising from sales agreements will be resolved by the court competent for ZADORUS’s registered office.
8.2 In matters not regulated by these terms, the provisions of the Civil Code, particularly Articles 535-602, shall apply.
8.3 ZADORUS reserves the right to amend these sales terms at any time, with such changes not affecting orders placed before their introduction.
